Refer-a-Friend Program Terms and Conditions

These Refer-a-Friend Program Terms and Conditions (“Terms”) are applicable to your participation in the Dollar Shave Club, Inc. (“DSC,” “we,” “us,” or “our”) Refer-a-Friend Program (the “Program”). The Program allows eligible members (“Referrers”) to invite friends (“Referees”) to try DSC. Referrers can earn single-use discount codes and, at a milestone, a free product, by referring Referees who sign up for a new subscription, and Referees can receive a discount on a new subscription.

By participating in the Program, Referrers, and Referees agree, without limitation or qualification, to be bound by these Terms, which are in addition and subject to our Terms of Service and Privacy Policy. Capitalized terms that are not defined herein will have the same meaning given to them in the Terms of Service. If you do not agree and abide by these Terms in their entirety you are not authorized to participate in the Program.

DSC may modify, suspend, or terminate the Program or these Terms at any time as described in Section 12 and Section 13 below.

1. Definitions

For purposes of these Terms:

1. “Referrer” means a current DSC member in good standing who submits a referral through the official referral sign-up form.
2. “Referee” (or “Friend”) means an individual whose email address is submitted by a Referrer and who is not an existing or former DSC subscriber and has not previously redeemed a DSC new-subscription offer.
3. “Referral” means a single, valid submission of one genuine Referee’s email address through the official referral form, made with the Referee’s awareness and consent.
4. “Referrer Code” means a single-use discount code issued to the Referrer.
5. “Referee Offer” means the new-subscription discount made available to a Referee.

2. How to Earn Program Rewards

To participate, Referrers must be logged in to their member account and submit a Referral by entering the Referee’s email address through the official referral form on the DSC website. The Referee will be sent the Referee Offer described in Section 5.

Upon submitting a valid Referral through the referral form, the Referrer is issued a single-use Referrer Code for 50% off one (1) eligible non-razor Product. A Referrer may earn one (1) such code per valid Referral, for up to nine (9) Referrals (i.e., up to nine 50%-off codes). The following conditions apply to Referrer Codes:

1. Each code applies to one (1) eligible item and cannot be combined or “stacked” with another Referrer Code, promotion, or discount on the same Product;
2. Codes are single-use, non-transferable, have no cash value, and cannot be applied to past purchases;
3. Razors and razor products are excluded from the 50%-off codes; and 
4. Codes are issued only for valid Referrals as determined under Sections 7 and 9. DSC may verify any Referral before or after a code is issued and may withhold, void, or claw back any code or reward connected to an invalid, fraudulent, duplicate, or non-genuine Referral.

A Referrer may attain rewards from a maximum of ten (10) valid Referrals total under the Program, as described in Section 4. Any Referral shall be subject to review and/or verification at any time by DSC, and it is in the sole discretion of DSC as to the legitimacy and validity of such Referral.

3. Milestone Reward (Tenth Referral)

Upon a Referrer’s tenth (10th) valid Referral, in place of an additional 50%-off code, the Referrer will receive one (1) free Product selected by DSC in its sole discretion. The free Product:

1. Has no cash value and is non-transferable;
2. May be substituted by DSC for an item of comparable value subject to availability; and
3. Is subject to the same verification and clawback rights described in Section 9.

4. Reward Cap

A Referrer may earn rewards from a maximum of ten (10) valid Referrals total under the Program: up to nine (9) 50%-off codes (Section 2) plus one (1) milestone free Product (Section 3). Referrals beyond this cap do not earn additional rewards. DSC may apply additional limits in its sole discretion.

5. Referee Offer

A Referee who has not previously subscribed to DSC may receive an offer for 30% off a new subscription by using the code included in the official referral offer email. The Referee Offer:

1. Is available only to new subscribers (not existing or former subscribers);
2. Is single-use, non-transferable, has no cash value, and cannot be combined with other offers; and
3. Excludes College- and Military-branded products.

6. Eligible Participants

To be eligible for the Program, Referrers and Referees must:

1. Be at least 18 years old;
2. Be legal residents of the United States; and
3. In the case of Referrers, maintain a Membership account in good standing with DSC.

Employees of the Company, its service providers or any of its or their subsidiaries, affiliates or promotional agencies, including immediate family and household members, are not eligible for the Program.

No part of the Program is directed to persons under the age of 13. IF YOU ARE UNDER 13 YEARS OF AGE, PLEASE DO NOT USE OR ACCESS THE PROGRAM AT ANY TIME OR IN ANY MANNER.

7. Genuine Referrals, Referrer Obligations & Required Disclosure

Genuine referrals only. Referrers must refer only real individuals with whom they have a personal relationship and who have consented to receiving the referral and to having their email address submitted. Submitting invented, randomly generated, auto-generated, purchased, scraped, or otherwise non-genuine email addresses is prohibited and voids any associated reward. Only the first valid Referral of a given person will count.

Required disclosure. Before or when referring, the Referrer must clearly disclose to the Friend that the Referrer will receive a discount or reward for referring them. DSC will include this disclosure in the standard referral messaging; Referrers who communicate outside DSC’s tools must make this disclosure themselves.

Referrals should only be used for personal and non-commercial purposes, and only shared with personal connections that will appreciate receiving these invitations. Referrer Codes and Referee Offers should not be published or distributed where there is no reasonable basis for believing that all or most of the recipients are personal friends or family. For example, they should not be distributed via commercial websites (such as coupon websites or social pages). Use of any automated system, script or macro to participate in the Program or generate Referrals is strictly prohibited.

8. No Spam

Bulk email distribution, distribution to strangers, or any other promotion of a Referrer Code or Referee Offer in a manner that would constitute or appear to constitute unsolicited commercial email or “spam” in DSC’s sole discretion is expressly prohibited and is grounds for immediate termination of the Referrer, deactivation of his or her referral access, exclusion from the Program, and revocation of all related rewards.

9. Prohibited Conduct — Fraud and Abuse

The following are prohibited and will result in voided, withheld, or clawed-back rewards, and may result in account suspension or termination and forfeiture of all benefits:

1. Self-referral, or referring email addresses you own or control;
2. Using fake, random, auto-generated, purchased, scraped, or non-consenting email addresses;
3. Creating multiple, duplicate, or fake accounts or identities, or referring the same person more than once (only the first valid Referral of a given person counts);
4. Bulk distribution or spam — mass emailing, posting to strangers, or any distribution that would constitute unsolicited commercial messaging under applicable law;
5. Posting, listing, or distributing Referrer Codes or Referee Offers on coupon sites, deal forums, marketplaces, social pages, or any site or channel you do not personally own and control;
6. Reselling, bartering, trading, or transferring codes, offers, or rewards;
7. Bidding on, or using, DSC trademarks, brand names, or common misspellings in paid search, ads, ad extensions, or domains, or using DSC logos or marks except as expressly authorized;
8. Using bots, scripts, or automated means to participate, or attempting to circumvent reward caps, de-duplication, or verification; and
9. Any activity DSC determines, in its sole discretion, to be fraudulent, abusive, manipulative, deceptive, or inconsistent with the spirit or letter of these Terms or applicable law.

DSC’s rights. DSC reserves the right, at any time and in its sole discretion, to verify any Referral; to withhold, reduce, void, or reverse (claw back) any code, offer, or reward, including after issuance or redemption; to reverse a Referrer reward if the associated Referee Offer or order is canceled, refunded, returned, or charged back; to disqualify any participant; and to suspend or terminate accounts and forfeit accumulated rewards for any violation or suspected violation. DSC reserves the right to revoke or refuse to issue any reward for Referrals that it suspects were generated through improper channels.

10. Disclaimers

DSC disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond DSC’s control corrupt the administration, security or proper operation of the Program.

The Program is provided “as is.” To the maximum extent permitted by law, DSC disclaims all warranties and is not liable for any indirect, incidental, or consequential damages arising from the Program. 

DSC shall not be liable to any Referrer or Referee for failure to supply any reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the Released Parties’ control.

11. Other Program Conditions and Limitations

Referrers and Referees may not participate in the Program where doing so would be prohibited by any applicable law or regulation.

Codes, offers, and rewards have absolutely no monetary value and may not, under any circumstances, be redeemed for cash or any cash equivalent including but not limited to gift cards, certificates, or refunds, except as expressly permitted herein. Codes, offers, and rewards are personal to the participant and are not transferable and may not be auctioned, traded, bartered or sold, whether by operation of law or otherwise.

No purchase is necessary by a Referrer to participate, except where a reward is, in DSC’s discretion, conditioned on a qualifying action.

Referrers and Referees are solely responsible for any taxes that may arise from rewards received, as required by law.

By submitting a Referral, the Referrer represents that they have a personal relationship with, and the necessary consent of, the Referee, and that they have complied with the disclosure obligation in Section 7.

Email addresses submitted are handled in accordance with the DSC Privacy Policy.

Upon termination of the Program or any portion thereof for any reason, or upon cancellation of a participant’s account for any reason, any unredeemed codes, offers, or rewards accumulated by the participant are forfeited.

12. Termination and Changes

DSC may modify, suspend, or terminate the Program, the rewards, or a user’s ability to participate in the Program, in whole or in part, at any time and for any reason, with or without notice. Continued participation after changes constitutes acceptance. DSC is not liable for any modification, suspension, or termination of the Program.

DSC reserves the right to suspend accounts or remove rewards if it notices any activity that it believes is abusive, harassing, fraudulent, in violation of applicable law or regulation, or in violation of these Terms or the DSC Terms of Service. DSC reserves the right to review and investigate all referral activities and to suspend accounts or modify referrals in its sole discretion as deemed fair and appropriate.

The scope, variety, and type of services and Products that you may obtain by redeeming rewards can change at any time.

13. Updates to the Terms

DSC may modify these Terms at any time, with or without notice, even though these changes may affect your ability to use the Program, subject to our compliance with applicable laws. The most current version of these Terms will be available on the DSC website and will supersede all previous versions of these Terms.
